Please read the following Terms and Conditions thoroughly. By accessing or using the website easyvc.ai and/or the EasyVC application available through the site, you hereby agree to be bound contractually by and firmly adhere to these Terms and Conditions (also referred to as “the Agreement”), as they may be amended or supplemented from time to time. If you do not accept these Terms and Conditions, you may not access the site and use EasyVC.

THIS IS A BINDING LEGAL AGREEMENT BETWEEN YOU AND EASYVC.

GENERAL PROVISIONS

This contractual document will govern the contracting of services through the software application called EasyVC, which consists of a business-to-business software-as-a-service (SaaS) platform owned and operated by Easy Ventures LLC (the “Provider” herein, also referred to as “EasyVC” or “We,” “Us,” or other forms thereof), which allows startups founders and other authorized business representatives (“Users”) of a Company to access an online tool to help them fast-track their fundraising journey, by finding investor matches using artificial intelligence, based on information provided by the User.

EasyVC is available to access from the Provider’s website easyvc.ai (through access buttons, like ‘Sign In’ or ‘Get Started’). The access and use of this application entail the full acceptance of these Terms and Conditions.

The acceptance of this Agreement entails that the User (also referred to as “You”, “Your”) has read, has read, understood, and agrees to be legally bound by the terms set forth herein.

If You are entering into this Agreement on behalf of a company, business, or other legal entity (a “Company”), You represent and warrant that You have full legal authority to bind that Company to this Agreement. In such cases, the terms “You” and “Your” refer exclusively to that Company and its authorized representatives. If You do not have such authority, You must not accept this Agreement or access or use the EasyVC Service. EasyVC is provided solely for business and professional use and is not offered to individual consumers.

These Terms and Conditions will have an indefinite validity period and will be applicable to all operations carried out through the website and the Provider’s software application. The Provider reserves the right to unilaterally modify said Terms and Conditions, notwithstanding the goods or promotions that were acquired prior to the modification.

1. OBJECT OF THE AGREEMENT

1.1. The object of this binding agreement is to regulate the contractual relationship established between the Provider and the User with regards to the User’s access and use of the Provider’s site (easyvc.ai) and software application (EasyVC) at the moment of accepting these Terms and Conditions. The User cannot access and use the Provider’s site and the application without prior acceptance of these Terms of Conditions.

1.2. The User undertakes to respect these Terms and Conditions, both in their current state as well as in any future amendments thereof.

1.3. The contractual relationship involves the availability to access EasyVC, the use of the services offered in this application, the main rules that all Users must follow when using EasyVC, as well as the application and billing of paid subscription plans available through EasyVC.

2. FUNCTIONALITY OF THE APPLICATION

2.1. For the correct functioning of the EasyVC application, technical requirements concerning its use are as follows. It is the express responsibility of the User to have the following means:

  • Internet connection;
    A web browser (e.g., Google Chrome, Internet Explorer);
    Java Script activated.

2.2. The provider will do everything possible so that the EasyVC service is always running.

2.3. The Provider is not responsible for the fact that the User does not use the service or that the access to the EasyVC service is limited due to an Internet overload or due to failures with OpenAI, networks, electronic devices or communication systems. Server availability and wait times may vary.

2.4. The EasyVC application may not be fully functional, may contain errors, bugs or design flaws, and may have reduced or different security, accessibility, availability, and reliability standards relative to the Provider’s commercially provided software and services.

3. GETTING ACCESS TO EASYVC

3.1. To use EasyVC, You must register for an account. Users can register on the EasyVC using a valid e-mail address and creating a password, which become your Login Credentials, over which they have full responsibility of use and safe-keeping, the User being responsible for the truthfulness of the data made available to the Provider. If You become aware of any unauthorized access through Your Login Credentials, You agree to notify EasyVC immediately. Your Login Credentials may not be shared and may only be used by You.

3.2. Customer assistance and contact with the User will be carried out through the Provider’s e-mail address d.olmedo@easyvc.ai.

3.3. You acknowledge and agree that We may send You information and notices regarding our services by email or through other means. You acknowledge and agree that We shall have no liability associated with or arising from Your failure to maintain accurate contact or other information, including, but not limited to, Your failure to receive critical information about EasyVC.

4. PROPER USE OF EASYVC

4.1. The User agrees to respect the User Rules established by the Provider. The User undertakes to use the website and the EasyVC application correctly, respecting all their assets, content, products and functionalities, as well as their intellectual properties. The User can use the EasyVC website and the application in strict accordance with these Terms and Conditions. The User agrees not to access or use the application for any purpose that is considered illegal or is beyond the scope of the intended use of the application.

4.2. Additionally, the following actions are not permitted under any circumstance by the User:

  • using EasyVC to import or copy local files for which the User does not have legal right to import or copy in this manner;
  • using the EasyVC service for any illegal purpose;
  • transferring copies of the EasyVC cache content from an authorised device to another device by any means;
  • access the code of EasyVC application;
  • modify, reproduce or transform EasyVC for any purpose, including error correction;
  • make subsequent or derivative versions of EasyVC, its content or any part thereof;
  • using inverse engineering techniques, decompiling, disassembling, modifying or creating derived works based on EasyVC, its content or any part thereof;
  • neutralising any technology used by EasyVC, its licensors or third parties to protect the content or the service;
  • using EasyVC to cheat, exploit, hack (including, but not limited to, using wallhacks, speedhacks, spinhacks, aimbots, triggerbots, among others);
  • selling, renting, sub-licensing or leasing of any part of EasyVC or its content;
  • neutralising the restrictions imposed by EasyVC;
  • providing your password to another person or using the username and password of another person;
  • crawling the EasyVC website or application or using automatic means (for example, bots, scrapers and spiders) to view, access or collect information from EasyVC or its service;
  • selling a user account or accepting, or offering to accept, any compensation, monetary payment or similar, to modify the name of an account or the content thereof.

4.3. The User undertakes to respect EasyVC. In addition, the User undertakes to not participate in activities of the following nature or that include material of this nature:

  • that is offensive, abusive, defamatory, threatening or obscene content;
  • that includes malicious content such as malware, Trojans or viruses, or that prevents otherwise a User from accessing EasyVC application;
  • that has the intention of, or effectively achieves, the harassment or intimidation of other Users;
  • that impersonates other persons or entities;
  • that involves the sending of unwanted bulk mail or other forms of bulk mail (“spam”), junk mail, chain mail or similar items, including through the EasyVC inbox;
  • that includes commercial or selling activities, such as advertising, promotions, contests, lotteries or pyramid schemes, that are not expressly authorised by EasyVC;
  • that includes links to references or promotes commercial products or services in any way, unless they are expressly authorised by EasyVC;
  • that interferes with the website or EasyVC application or in any way harms, manipulates, violates or tries to investigate, explore or examine vulnerabilities or weaknesses in the service, systems or computer networks of EasyVC, in usage regulations, in any security component, or in authentication measures of EasyVC or any other security measures relating to their service, their content or any part thereof; or
  • that contravenes anything that is established in these Terms and Conditions, as determined by the Provider.

5. CONTRACTING PROCEDURE

5.1. The Provider offers two EasyVC subscription plans. The plans are divided, on the one hand, into a ‘Monthly Plan’, a type of subscription with basic functionalities for the User, and on the other hand, a ‘Pro Plan’, which is an advanced subscription for any User who wishes it and is billed annually. Any User has the possibility to subscribe to any of these plans available on the EasyVC service, under the conditions reflected in the corresponding section for each one of them.

5.2. Free Trial. The Provider may offer a free trial of three (3) calendar days. Activation of the free trial constitutes acceptance of these Terms and creates an obligation to pay if the free trial is not canceled prior to its expiration. Unless canceled, the free trial will automatically convert to the Monthly Plan, and the corresponding fees will be charged immediately upon conversion. Users may upgrade to the Pro Plan at any time inside the application to unlock advanced features. Users may cancel the free trial at any time prior to its expiration without being charged.

5.3. Early Upgrade During Free Trial. During the free trial, Users may upgrade immediately to either the Monthly Plan or the Pro Plan. In such cases, the free trial will end upon upgrade, and the selected plan will take effect immediately, with the corresponding fees charged at that time. The subscription will then follow the standard billing cycle of the selected plan.

5.4. All fees are as set forth in the applicable plan, agreement, or order form presented to you upon purchase or upon automatic conversion from a free trial, and will be paid by You. The amount billed corresponds to the fees of the plan in effect.

5.5. The pricing applied to the subscription plans excludes Value-added Tax (VAT) or other taxes that may be applicable. You are responsible for paying all taxes.

5.6. When a User wishes to subscribe to an available subscription plan (whether it is the ‘Monthly Plan’ or the ‘Pro Plan’), this process will be carried out inside the EasyVC application, through the payment gateway used by the Provider, which is Stripe.

5.7. By providing Your credit card information and agreeing to purchase an EasyVC plan, You hereby authorize EasyVC to automatically charge Your credit card each calendar month during the Subscription Term. You acknowledge and agree that the amount billed corresponds to the fees of the selected plan. If You activate a free trial, the subscription will automatically convert to the Monthly Plan at the end of the trial unless You cancel, and the corresponding fees will be charged immediately upon conversion to the Monthly Plan.

5.8. The Provider does not have access to the credit card details entered by the User to make the payment, as the data related to payments is stored on the servers of said payment gateway. The Provider’s application shall only have access to verify if the User has made the payment correctly or if the payment has been cancelled, but never access to the numbers or passwords related to them.

5.9. The User agrees to have sufficient funds available for the payment of the EasyVC service through the selected payment method. In the event that the User does not have sufficient funds on the day the subscription is to be charged, the Provider will attempt to charge the fee to the credit card that the User has registered. If the fee has not been paid on the corresponding date, the User will be notified by Stripe via e-mail and the Provider will completely cancel the User’s subscription.

5.10. You are responsible for providing truthful and accurate billing information, and false or inaccurate information is a breach of these Terms and Conditions and may result in cancellation of your purchase or termination of access to EasyVC. EasyVC reserves the right to refuse or cancel an order for any reason.

5.11. By confirming your purchase at the end of the checkout process or by activating a free trial, You agree to accept and pay for any subscription fees that become due in accordance with these Terms, as well as all applicable taxes. For free trial users, fees will only be charged if the trial is not canceled prior to its expiration (please refer to Clause 6.6. of these Terms), at which point the subscription will automatically convert to the Monthly Plan and the corresponding fees will be charged immediately upon conversion.

6. AUTO-RENEWAL AND CANCELLATION

6.1. If the User acquires the ‘Monthly Plan’ subscription plan, including via auto-conversion from a free trial, they authorize the Provider to automatically charge the User the corresponding fee for consecutive periods of one (1) month starting from the subscription date until they proceed to the cancellation of said paid subscription.

6.2. If the User acquires the ‘Pro Plan’ subscription plan, including via in-app upgrade from the Monthly Plan, they authorize the Provider to automatically charge the User the corresponding fee for consecutive periods of one (1) year starting from the subscription date until they proceed to the cancellation of said paid subscription.

6.3. If the User wants to view the subscription plan and fee to which they are subscribed, they will be able to see it on the ‘Manage my Subscription’ section in the EasyVC application.

6.4. The User can cancel their paid subscription at any time and will continue to have access to the EasyVC service until the end of their billing period in accordance with their plan. To cancel a paid subscription, the User must login with their Login Credentials and go to the ‘Manage my Subscription’ section in the EasyVC application and follow the instructions for cancellation.

6.5. If the User has not renewed their subscription plan, said plan will be completely canceled after the end of the billing period.

6.6. Cancelling a Free Trial. If the User has activated a free trial, they may cancel the trial at any time prior to its expiration to avoid future charges. Cancelling the free trial does not incur any charges and prevents automatic conversion to the Monthly Plan. Users who do not cancel the free trial prior to its expiration will have their account automatically converted to the Monthly Plan, and the corresponding fees will be charged immediately upon conversion. To cancel a free trial, the User must log in with their Login Credentials, go to the ‘Manage my Subscription’ section in the EasyVC application, and follow the instructions to cancel the free trial. For details regarding the free trial, please refer to Clause 5.2. of these Terms.

5.2. Free Trial. The Provider may offer a free trial of three (3) calendar days. Activation of the free trial constitutes acceptance of these Terms and creates an obligation to pay if the free trial is not canceled prior to its expiration. Unless canceled, the free trial will automatically convert to the Monthly Plan, and the corresponding fees will be charged immediately upon conversion. Users may upgrade to the Pro Plan at any time inside the application to unlock advanced features. Users may cancel the free trial at any time prior to its expiration without being charged.

6.7. Early Upgrade During Free Trial. If the User has activated a free trial, they may upgrade the trial to a paid subscription (either the Monthly Plan or the Pro Plan) at any time prior to its expiration. In such cases, the free trial will end immediately upon upgrade, and the User authorizes the Provider to charge the applicable subscription fees immediately using the credit card details provided by the User. Following the upgrade, the subscription will continue according to the standard billing cycle of the selected plan. Any unused portion of the trial will be forfeited. To upgrade to a paid plan during the free trial, the User must log in with their Login Credentials, click on ‘View Plans’ button in the EasyVC application, and follow the instructions to complete the upgrade. For details regarding early upgrade during free trial, please refer to Clause 5.3. of these Terms.

5.3. Early Upgrade During Free Trial. During the free trial, Users may upgrade immediately to either the Monthly Plan or the Pro Plan. In such cases, the free trial will end upon upgrade, and the selected plan will take effect immediately, with the corresponding fees charged at that time. The subscription will then follow the standard billing cycle of the selected plan.

7. NO REFUNDS POLICY

7.1. Except as expressly set forth in this Agreement, all fees are non-refundable. The User is not entitled to any refund of the amounts paid to the Provider under any circumstances. In addition, the Provider will not provide returns or credits for partial subscription periods, nor due to customer dissatisfaction (please refer to Clause 2.4. of these Terms).

2.4. The EasyVC application may not be fully functional, may contain errors, bugs or design flaws, and may have reduced or different security, accessibility, availability, and reliability standards relative to the Provider’s commercially provided software and services.

7.2. When you cancel a subscription, you cancel only future charges associated with your subscription. Cancellations will take effect at the end of the current billing period, and as such, EasyVC does not offer prorated refunds for cancelled subscriptions. All subscriptions are recurring and will automatically renew at the end of each billing cycle unless canceled before the next billing period. You will not receive a refund for the current billing cycle as you will continue to have the same access and benefits of your subscription for the remainder of the current billing period, even if you cancel before the period ends.

8. DISCLAIMER OF WARRANTIES

SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES IN CONTRACTS WITH CONSUMERS AND AS A RESULT THE CONTENTS OF THIS SECTION MAY NOT APPLY TO YOU.

The User understands and agrees that the EasyVC service is provided “as is” and “as available”, without express or implied warranty or condition of any kind. The Provider makes no representations and disclaim any warranties or conditions of satisfactory quality, merchantability, fitness for a particular purpose, or non-infringement. The Provider does not warrant that the EasyVC service is free of malware and other harmful components. In addition, the Provider makes no representation nor does it warrant, endorse, guarantee, or assume responsibility for any third-party applications (or the content thereof), devices or any other product or service advertised, promoted or offered by a third party on or through the EasyVC service or any hyperlinked website, or featured in any banner or other advertising. The Provider is not responsible or liable for any transaction between the User and third-party providers related to the aforementioned.

YOU ASSUME ALL RISK FOR ANY DAMAGE OR LOSS OF DATA THAT RESULTS FROM USING EASYVC.

PROVIDER DOES NOT HAVE ANY OBLIGATION TO VERIFY THE IDENTITY OF THE PERSONS LOGGING INTO OR REGISTERING TO USE EASYVC, NOR DOES IT HAVE ANY OBLIGATION TO MONITOR THE USE OF EASYVC BY OTHER USERS; THEREFORE, THE PROVIDER DISCLAIMS ALL LIABILITY TO YOU OR ANY THIRD PARTY ARISING OUT OF INACCURATE INFORMATION, FRAUD, NEGLIGENCE, OR WILFUL MISCONDUCT THROUGH EASYVC, OR ANY OTHER INAPPROPRIATE USES OF EASYVC.

Notwithstanding the foregoing, nothing contained in this clause shall have the effect of limiting the Provider’s liability in the event of total or partial non-compliance or inadequate performance with its essential obligations for providing the service in accordance with these General Terms and Conditions. This clause applies to the fullest extent permitted by applicable law.

9. SEVERABILITY, WAIVER AND INTERPRETATION

Unless otherwise indicated in this contract, if for any reason or to any extent, any clause of these Terms and Conditions is considered invalid or unenforceable, such invalidity or unenforceability shall in no way affect or imply the invalidity or unenforceability of the other clauses set forth in these Terms and Conditions, and the application of said clause shall be enforced to the extent permitted by law.

10. Advertisements and Promotions

EasyVC may conduct advertising campaigns and promotions itself or on behalf of third parties on the EasyVC service.

11. INTELLECTUAL PROPERTY OF THE APPLICATION

11.1. The User acknowledges that the service Provider is the owner of the intellectual property rights of the EasyVC website, EasyVC application and EasyVC brand at all times. The Provider makes said application available to the User under the terms stated in this agreement, thereby granting a revocable, non-exclusive, non-transferable, and limited license for the access and use of the EasyVC application.

11.2. The User shall not reproduce, sell or exploit any part of the application, access to it or the use thereof, or any service or material available through the EasyVC application for commercial purposes.

12. OWNERSHIP AND PROCESSING OF PERSONAL DATA

12.1. The Provider offers functionality within the EasyVC application that will include the ability to provide us with Personal Data, such as Startup name and Startup description. To the extent You provide EasyVC with Personal Data through our website, EasyVC’s collection, use and transfer of Personal Data is subject to the terms of EasyVC’s Privacy Policy.

12.2. You represent and warrant that You have all necessary rights in, and obtained all necessary consents to, any Personal Data You share with EasyVC or submit, transmit, store, via the EasyVC application, and to grant the EasyVC the rights granted under this Agreement.

12.3. Notwithstanding anything to the contrary in these Terms and Conditions, EasyVC may collect Benchmark Data and such Benchmark Data shall be the property of EasyVC. EasyVC shall have the right to use Benchmark Data to develop modifications, improvements, and enhancements to the EasyVC application.

13. MODIFICATION TO THE TERMS AND CONDITIONS

13.1. The Provider reserves the right to modify these Terms and Conditions in accordance with their own criteria, or if especially motivated by legislative, jurisprudential or doctrinal changes.

13.2. Any modification to these Terms and Conditions will be published before their effective application. The use of the Provider’s website and software application after these changes shall entail the full acceptance thereof.

13.3. However, once the modifications have been published and do come into effect, the User’s continued presence and use of the EasyVC service shall entail their complete acceptance of these modifications.

13.4. It is Your responsibility to check the agreement periodically for changes. You can review the most current version of this Agreement at any time at http://easyvcai.site/terms.
